Here is a guide on how to locate the relevant information about the funding round amount in an MGT-7 filing:

  1. Section IV - Share Capital, Debentures, and Other Securities of the Company

    This section provides information about the company’s share capital, including the authorized, issued, subscribed, & paid-up capital. It also includes any new issues/changes to share capital, which could indicate the infusion of funds from investors.

    • Look for any changes in share capital under Break-up of Paid-up Share Capital. If the company raised funds by issuing new shares during the financial year, this would be reflected here. New issues might suggest a funding round.

    • Any Private Placement/Preferential Allotment would also indicate funding from specific investors.

  2. Section VI - Share Holding Pattern

    In this section, you can check the shareholding pattern of both promoters and the public. If there is a change in the shareholding structure, especially under the Public/Other than promoters category, it could indicate external funding or new investors.

    • Look for the Venture Capital and Body Corporate sections. If shares have been allotted to venture capitalists or other entities, it may point to a recent funding round.

  3. Section VII - Number of Promoters, Members, Debenture Holders

    This section provides information on the number of promoters and members at the start and end of the financial year. If new promoters or members have joined, it may indicate a funding round where new investors have taken a stake in the company.

  4. Section VIII - Details of Directors and Key Managerial Personnel

    If a new investor has taken a position as a director or has appointed key managerial personnel, it could indicate the involvement of new investors through a funding round.

    • Changes in the Composition of Board of Directors or Nominee Directors may also point to investor participation in the company.

  5. Section XII - Penalty and Punishment - Details Thereof

    Although this section generally deals with penalties or punishments, in some cases, it may include notes on regulatory approvals or penalties related to fund inflows or funding rounds.
