Form MGT-14 is a mandatory filing under the Companies Act, 2013, that companies must submit to the Ministry of Corporate Affairs (MCA) to inform the Registrar of Companies (RoC) about resolutions passed by the company. This form typically includes resolutions related to share issuance, alterations in share capital, or other strategic decisions.

How to Know About the Funding Round Amount?


  • Single Filing for the Funding Round

    The Funding Round Amount is calculated as the sum of:

    • Fresh Issue Amount mentioned under the "Subject Matter of the Resolution."

    • Offer for Sale (OFS) Proceeds, which represent the value of shares sold by existing shareholders.

For example, in the attached reference image:

Fresh Issue Amount: Rs. 1,500 Million.

- Offer for Sale (OFS): 1,32,00,000 shares Γ— Rs. 2 (face value).

- Total Funding Round Amount = Rs. 1,500 Million + Rs. 264 Million (OFS).

  • Multiple Filings for the Funding Round

    The Funding Round Amount is the aggregate of all amounts specified under "Fresh Issue" and "Offer for Sale" across the filings.
