About Form No. PAS 3 (Return of Allotment)
Form PAS-3 (Return of Allotment) is a mandatory form that companies in India must file with the Ministry of Corporate Affairs (MCA) to inform the Registrar of Companies (RoC) about the allotment of new shares. This form includes detailed information about the shares allotted, such as the number of shares, their nominal value, any premium amount, and the particulars of the allottees.
How to know about the Funding Round Amount?
If there is only one Filing added to the Funding Round, then the Round Amount is the Sum of the "Total nominal amount" and "Total premium amount paid". Refer to the highlighted parameters in the image below:
If there is more than one Filings added to the Funding Round, then the Round Amount is the Sum of the Total Nominal Amount and the Total premium amount paid is mentioned in all PAS 3 form linked to the Funding Round.
How do you understand the amount invested by Investors who participated in the funding round?
The "List of Allottees" is a detailed record of individuals or entities to whom shares have been allotted. This list is a required attachment to Form PAS-3 and must contain specific information about each allottee like the number of shares allotted to each individual or entity, nominal value, premium amount etc.
Table B in the "List of Allottees" shows the Number of shares Allotted, and the Total Amount paid by each Investor.
It is possible that the amount invested by an investor in a round is received in tranches,and is present in multiple List of Allottess files.
